Terms and Conditions

1. Agreement

These Terms govern your use of enterthesphere.com (the "Site"), which is operated by Sphere Omnia, Inc., a Delaware corporation ("Sphere", "we", "us"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site. Our Privacy Policy explains how we handle personal data and forms part of these Terms.

If you and Sphere have signed a separate agreement for products or services, that agreement controls for those products or services.

2. The Site

The Site provides information about Sphere and its products. It is for general information only. Nothing on it is an offer, a contract, or professional, legal, financial or technical advice. We may change, suspend or remove any part of the Site at any time without notice.

3. Intellectual property

The Site and everything on it, including text, graphics, logos, product names, designs and code, belongs to Sphere or its licensors and is protected by intellectual property laws. Sphere and OrgBrain [confirm marks] are trademarks or brand names of Sphere or its affiliates.

You may view the Site and print or share individual pages for your own non-commercial, informational use. You may not copy, modify, distribute, sell or reuse other content without our written permission.

4. Acceptable use

You agree not to:

  • break any law or infringe anyone's rights while using the Site
  • interfere with the Site or its security, or try to gain unauthorised access to it or to systems connected to it
  • send malware or run automated scans, scrapers or load tests without our written permission
  • use the Site to send spam or misleading messages, including through the contact form
  • pretend to be another person or organisation

We may block access if we think you are breaking these rules.

5. Messages you send us

If you send us a message, you confirm that you have the right to share its contents. If you send ideas or feedback, we may use them without limit and without owing you payment or credit. We handle personal data in your message as set out in the Privacy Policy.

6. Third-party links

The Site may link to other websites. We do not control them and are not responsible for their content or practices. A link is not an endorsement.

7. Disclaimers

The Site is provided "as is" and "as available". To the fullest extent the law allows, Sphere disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Site will be uninterrupted, error-free or free of harmful components, or that its content is accurate or complete.

8. Limitation of liability

To the fullest extent the law allows, Sphere and its officers, directors, employees and affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site. Our total liability for any claim relating to the Site is limited to [US$100].

Nothing in these Terms limits liability that cannot be limited by law, and nothing affects any mandatory consumer rights you have under the law where you live.

9. Indemnity

You agree to defend and indemnify Sphere against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

10. Governing law and disputes

These Terms and any dispute relating to them or to the Site are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and you and Sphere consent to their jurisdiction and venue.

This does not remove any right you have under mandatory law to bring a claim in your home country, or any data protection right described in the Privacy Policy.

11. Changes

We may update these Terms. The date at the top shows the latest version. If you keep using the Site after an update, you accept the new Terms.

12. General

If a part of these Terms is found unenforceable, the rest stays in force. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms. We may transfer ours in a merger, sale or reorganisation. These Terms and the Privacy Policy are the full agreement between you and Sphere about the Site.
